Scope This license governs the Web64 IDE software, including its source code, compiled and minified code, user interface implementation, compiler and optimizer implementation, editors, trackers, generators, debugging systems, build systems, supporting libraries developed specifically for Web64 IDE, and other software components distributed as part of Web64 IDE (collectively, the **"Software"**). The **Web64 Emulator is expressly excluded from this license**. The Web64 Emulator and any separately identified third-party components are governed by their respective licenses or terms. Documentation, examples, generated program output, user-created projects, and user-created assets are not subject to this license except where they contain or incorporate portions of the Software. ## 2. Ownership The Software is proprietary software of Siteledger Solutions Oy and its applicable rights holders. This license grants limited rights to use the Software. It does not transfer ownership of the Software or any intellectual property rights in the Software. All rights not expressly granted are reserved. ## 3. Permitted Use Subject to this license, you may use Web64 IDE for personal use, educational use, research, hobby development, development of commercial or non-commercial software, games, demos, music, graphics, and other content using Web64 IDE, evaluation of Web64 IDE, and contributions to Web64 IDE authorized by Siteledger Solutions Oy. **Commercial use of programs, games, assets, music, or other works created using Web64 IDE is permitted.** For clarity, this license restricts commercial exploitation of **Web64 IDE itself and derivatives of Web64 IDE**, not commercial exploitation of works created using the IDE. ## 4. Commercial Use of Web64 IDE You may not commercially exploit the Software, a derivative of the Software, or a substantial portion of the Software without prior written authorization from Siteledger Solutions Oy. For purposes of this license, **Commercial Use** includes use of the Software or a derivative, adaptation, translation, transformed implementation, or substantial portion thereof in connection with a product, service, or activity that generates, solicits, or is intended to generate monetary compensation; provides commercial advantage; is sold, licensed, rented, subscribed to, monetized, or offered as part of a paid product or service; or is distributed under a donation, sponsorship, crowdfunding, **"pay what you want," optional-payment**, or similar monetization model. Allowing a recipient to obtain a product for zero payment does not by itself make the use non-commercial when payment is solicited or the product is otherwise commercially exploited. Commercial licenses may be obtained separately from Siteledger Solutions Oy. ## 5. Competitive Use Without prior written authorization from Siteledger Solutions Oy, you may not use, reproduce, modify, adapt, translate, transform, or incorporate the Software or a substantial portion thereof to develop, improve, maintain, distribute, or provide a product or service that competes with Web64 IDE. This restriction includes, without limitation, competing Commodore 64 IDEs or development environments; source-code editors specifically integrated for Commodore 64 development; C64 assemblers or integrated assembler environments derived from Web64; C64 compiler environments derived from Web64; sprite, character, block, map, music, SID, or other asset editors derived from Web64; tracker or SID composition environments derived from Web64; debugging or integrated emulation environments derived from Web64; and substantially similar integrated retro-computing development environments. Independent development of competing software without use of protected Web64 IDE code or other material protected by applicable intellectual-property rights is not prohibited by this license. ## 6. Copying, Modification and Derivative Works Except as expressly permitted by this license or required by applicable law, you may not reproduce or redistribute the Software; publish or make available its source code; create or distribute modified versions or derivative works; incorporate the Software into another IDE, application, service, website, desktop application, or development environment; repackage Web64 IDE as a native, desktop, mobile, hosted, embedded, or otherwise redistributed application; sell, sublicense, rent, lease, or commercially distribute the Software; or remove or alter copyright, attribution, license, or proprietary notices. Private modifications for personal, educational, research, evaluation, or internal non-commercial purposes are permitted provided they are not distributed or used for prohibited Commercial or Competitive Use. ## 7. AI-Assisted Transformation The restrictions of this license apply regardless of the tools or methods used to reproduce, adapt, translate, transform, or derive software from Web64 IDE. Using the Software, its source code, compiled code, or substantial protected portions thereof as input to an artificial-intelligence system, large language model, code transformation system, transpiler, translator, decompiler, or similar automated system does not create permission to perform an act otherwise prohibited by this license. A transformation, translation, rewrite, transpilation, reimplementation, or other derivative process is not exempt from this license merely because it was performed partly or wholly by automated tools. Nothing in this section restricts analysis of ideas, principles, functionality, or interfaces to the extent such activity is permitted by applicable law. ## 8. Reverse Engineering and Interoperability Except to the extent permitted by mandatory applicable law, you may not reverse engineer, decompile, disassemble, decode, or otherwise attempt to reconstruct protected implementation details of the Software for the purpose of reproducing, adapting, redistributing, commercially exploiting, or creating an unauthorized derivative of the Software. Nothing in this license limits rights that cannot lawfully be restricted by contract. In particular, nothing in this license prohibits observation, study, testing, backup, error correction, or interoperability activities to the extent such rights are granted and made mandatory by applicable law. Information obtained through an applicable interoperability exception may be used only within the scope permitted by applicable law. ## 9. User Projects and Generated Output Projects and original content created by users with Web64 IDE remain the property of their respective rights holders. Siteledger Solutions Oy claims no ownership over a user's original C or assembly source code, games or applications, graphics, sprites, character sets, maps, music, SID compositions, project files, generated tables or matrices, compiled PRG files, or other original content created using Web64 IDE. The fact that Web64 IDE compiled, assembled, generated, processed, edited, or exported a work does not impose this license on that work. This does not grant rights to separately licensed Web64 components intentionally copied or embedded into generated output. Any such component remains subject to its applicable license. ## 10. Web64 Emulator Exclusion The Web64 Emulator is **not licensed under the Web64 IDE License**. No provision of this license is intended to impose additional restrictions upon the Web64 Emulator or third-party software incorporated into or used by Web64 IDE. Where a component carries a separate license notice, that separate license governs that component. ## 11. Trademarks and Identity This license does not grant permission to use the names, trademarks, logos, branding, or visual identity of Web64, Siteledger Solutions Oy, or related products in a manner suggesting endorsement, affiliation, or an official version. Modified or independently distributed software may not be represented as an official Web64 product without written authorization. ## 12. Third-Party Components Web64 IDE may contain or depend upon third-party software. Third-party components remain subject to their respective licenses. Where this license conflicts with rights granted by a third-party component's license, the third-party license governs that component. This license applies only to intellectual property that Siteledger Solutions Oy has the right to license under these terms. ## 13. Termination Your rights under this license terminate automatically if you materially violate its terms. Upon termination, you must cease unauthorized use, distribution, modification, or commercial exploitation of the Software and destroy unauthorized copies in your possession or control, except where retention is required by law. Termination does not affect licenses applicable to user-created output, the Web64 Emulator, or separately licensed third-party components. Siteledger Solutions Oy may separately authorize continued use or reinstate rights in writing. ## 14. Disclaimer of Warranty To the maximum extent permitted by applicable law, the Software is provided **"as is"** and **"as available,"** without warranties of any kind, whether express, implied, or statutory. Siteledger Solutions Oy does not warrant that the Software will be uninterrupted, error-free, suitable for a particular purpose, or compatible with every environment. Nothing in this license excludes warranties or rights that cannot lawfully be excluded. ## 15. Limitation of Liability To the maximum extent permitted by applicable law, Siteledger Solutions Oy and its contributors shall not be liable for indirect, incidental, special, consequential, or similar damages arising from use of or inability to use the Software. Nothing in this license excludes or limits liability where such exclusion or limitation is prohibited by applicable law. ## 16. Governing Law This license is governed by the laws of **Finland**, excluding its conflict-of-law rules. Mandatory rights and protections applicable under Finnish law, European Union law, or other applicable law remain unaffected. ## 17. Commercial Licensing and Permissions Uses prohibited by this license are not necessarily prohibited absolutely. Siteledger Solutions Oy may grant separate written licenses for commercial redistribution, embedding, OEM use, desktop/native integration, competitive products, derived tooling, hosted services, commercial modification, or other uses outside this license. Written authorization from Siteledger Solutions Oy overrides the corresponding restriction in this license to the extent specified in that authorization. ## 18. Entire License This license constitutes the terms under which Siteledger Solutions Oy grants the rights described above for Web64 IDE. Failure to enforce a provision in one instance does not constitute a waiver of that provision or of the right to enforce it later.
